End-User License Agreement (EULA)

This End-User License Agreement (the “Agreement”) is a binding agreement between you (“End User”, “you”, or “your”) and Digital Ninja Labs (“Company”, “we”, “us”, or “our”). This Agreement governs your use of the Digital Ninja Labs website and any associated client portals or digital tools (collectively, the "Service").

1. Definitions

• Company: Refers to Digital Ninja Labs, located at 3/133, Vishesh Khand 2, Gomti Nagar, Lucknow, Uttar Pradesh 226010.

• Service: Refers to the website (https://digitalninjalabs.com/), client dashboards, reporting tools, and digital marketing services provided by Digital Ninja Labs.

• You: The person or entity accessing the Service.

2. License Grant

Subject to the terms of this Agreement, Digital Ninja Labs grants you a limited, non-exclusive, revocable, and non-transferable license to:

• Access and use the Website and Service for your personal or internal business purposes.

• Review reports, content, and materials provided through our digital platforms.

Note: This license is for access only. It does not grant you ownership of the underlying software, code, or proprietary methods used by Digital Ninja Labs.

3. Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, or otherwise commercially exploit the Service or make the Service available to any third party.

• Modify, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service or Website.

• Remove, alter, or obscure any proprietary notice (including copyright or trademark) of Digital Ninja Labs.

4. Intellectual Property

All intellectual property rights, including copyrights, trademarks, trade secrets, and source code regarding the Service platform itself, remain the exclusive property of Digital Ninja Labs.

• Your Data: You retain ownership of any data or content you submit to us for marketing purposes.

• Our Tools: You acknowledge that you have no right to the proprietary software or methodologies we use to deliver your results.

5. Third-Party Services

Our Service may display, include, or make available third-party content (e.g., Google Analytics data, Facebook Ads Manager links) or provide links to third-party websites. You acknowledge and agree that Digital Ninja Labs is not responsible for the accuracy, uptime, or practices of these Third-Party Services. You access them at your own risk.

6. No Warranties ("As Is")

The Service is provided to you "AS IS" and "AS AVAILABLE" with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Digital Ninja Labs expressly disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Digital Ninja Labs be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or business interruption) arising out of your use or inability to use the Service.

8. Indemnification

You agree to indemnify and hold harmless Digital Ninja Labs and its team from any claims, losses, or damages arising from:

• Your misuse of the Service.

• Your violation of this Agreement.

• Your violation of any third-party rights (e.g., copyright infringement in content you provide to us).

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

10. Governing Law

The laws of India, specifically the state of Uttar Pradesh, shall govern this Agreement.
