While we use our best efforts and industry-standard strategies to achieve your goals (e.g., higher traffic, more leads), we cannot guarantee specific results (such as "Rank #1 on Google" or specific sales figures) because digital platforms (Google, Facebook, etc.) constantly change their algorithms.
3. Intellectual Property
Our Content: The design, logo, and code of the Digital Ninja Labs website are owned by us. You may not copy or republish our website content without permission.
Your Content: You retain ownership of all data, images, and files you provide to us for your marketing campaigns.
Deliverables: Upon full payment of fees, you own the final creative work (e.g., the logo we designed for you, the ad copy we wrote). However, we retain the right to use these works in our portfolio to showcase our skills, unless you request an NDA.
4. Payment & Invoicing
Fees: You agree to pay all fees associated with the services you select (e.g., monthly retainers, one-time project fees).
Third-Party Costs: You are responsible for paying media costs directly to third-party platforms (e.g., Google Ads budget, Facebook Ad spend). These costs are not included in our service fee.
Late Payments: If payments are not made by the due date, we reserve the right to pause all work and suspend your account until the balance is cleared.
5. Third-Party Services
Our services often rely on third-party platforms like Google, Facebook, Instagram, and hosting providers.
We have no control over these platforms.
We are not responsible if a third-party platform bans your account, changes its rules, or experiences downtime. We will do our best to help resolve such issues, but we are not liable for their actions.
6. Limitation of Liability
Digital Ninja Labs will not be liable for any direct, indirect, special, or consequential damages (including loss of data or profit) arising out of the use of our services.
7. Termination
By You: You may stop using our services at any time, subject to the cancellation notice period outlined in your specific service agreement (usually 30 days for retainers).
By Us: We reserve the right to terminate our relationship if you violate these Terms, fail to pay invoices, or use our services for illegal activities.
8. Indemnification
You agree to indemnify (protect) and hold Digital Ninja Labs harmless from any claim or demand, including legal fees, made by any third party due to:
